AMEC signs preliminary agreement to acquire Foster Wheeler for $3.3 billion

Foster Wheeler (FW; Zug, Switzerland) announced today that following a comprehensive review of strategic alternatives, it has provisionally agreed with AMEC (London) on non-binding outline terms concerning a possible business combination of the company and AMEC. The announcement confirms earlier reports that AMEC is in talks to acquire FW and is in response to a recent announcement by AMEC.   FW and AMEC have negotiated non-binding terms of a business combination under which AMEC would acquire each outstanding share of FW’s common stock for transaction...
